Contract Terms
This Contract shall be up to two (2) years (the “Initial Term”), with one (1) optional two-year renewal and one (1) optional one-year renewal (each, a “Renewal Term”).
Fees
All administrative fees due to DIR will be paid by the dealers based on the dollar value of all sales to Customers pursuant to contract DIR-CPO-5077. The Admin fee is 0.75% of all sales, net of returns and credits.
Order Placement
All purchase orders will be sent to the approved Dealer on TD SYNNEX DIR-CPO-5077 contract and processed by approved Dealer directly. All prices quoted to customers shall include the DIR Administrative fee.
Freight
All TX DIR orders will be FOB Destination CONUS to the end user – Free standard ground freight within the continental United States. Special and/or expedited delivery requests will be charged to the customer.

Return Policy
For TD SYNNEX to process your return in a timely manner, review the information and follow the procedures outlined below:
- RMAs are only valid for 30 days.
- All returns must be received by TD SYNNEX within 30 days from the date the RMA is issued. RMAs received after this time frame will be rejected and returned at the sender’s expense.
- Use the original manufacturer’s boxes and packaging.
- Package all returns to prevent damage in transit.
- All returns must have an RMA printed on the return shipping label.
- Do not write addresses or RMA numbers on the outside of the manufacturer’s boxes. Products must be in resalable condition to receive credit.
- All products must be returned with all original components, accessories, software, manuals and registration cards.
- Products must be shipped pre-paid. TD SYNNEX does not provide call tags or shipping labels for returns unless it is a TD SYNNEX error.
Service Agreement
Services provided under this Contract shall be in accordance with the Service Agreement as set forth in Appendix D of this Contract.

Authorized Dealer Program
TD SYNNEX offers a Dealer Program that provides select reseller partners the ability to sell to TX DIR-authorized entities using this contract. The Dealer is authorized to invoice the end user and accept payment on behalf of TD SYNNEX.
Agreement
To participate, please send request to your TD SYNNEX Public Sector Representative, found on the map.
- TD SYNNEX is responsible for reporting the sales and payment of fees to TX DIR.
- Reseller must submit a report of all sales, or report zero sales, by the 5th of each month through our reporting portal.
- All administrative fees will be paid by the dealers to TD SYNNEX.
- Vendor certifications/authorizations are required for participation.
